LICENSE AGREEMENT

FOR THE USE OF THE COMPUTER PROGRAM

«UTMSTAT»

Dear user! Before start installation, copying or other use of the software carefully read the terms of this Agreement, which is the standard form accession agreement and concluded in writing or in any other form provided for the current legislation of the Russian Federation. If you do not agree with terms of this Agreement, you may not use the Software. Installation, Launching or otherwise using the Software constitutes your full acceptance of all the terms of this Agreement and its proper conclusion in the manner provided for in paragraph 3 of Article 1286 of the Civil Code of the Russian Federation. This Agreement is a legally binding agreement, If you do not agree to be bound by its terms, you may not install the software and must remove all of its components from their portal Bitrix24.

This License Agreement (hereinafter referred to as the Agreement) lies between «UTMSTAT» (hereinafter referred to as the Licensor) and User (any individual, individual entrepreneur, legal entity (hereinafter referred to as the User) Computer programs «UTMSTAT» (hereinafter referred to as software).

Basic terms of this Agreement:

Software - computer program «UTMSTAT» (as in general and its components), the exclusive property rights to which are the territory defined in clause 1.4. Agreements belong to the Licensor;

Demo-software version – software version «UTMSTAT», which establishes a limitation on the period of its use and which is intended solely for the User's own familiarization with functionality of the Software under the terms of this Agreement and not intended for sale or other disposal to third parties.

1. Subject of the AGREEMENT

1.1. In the manner and under the terms and conditions set out in this By agreement, the Licensor grants the User the right to use the Software (simple non-exclusive license), implemented by installation (installation) and launch by the User of the Software in accordance with its technical documentation and the terms of this Agreement.

1.2. All provisions of this Agreement apply both for the software as a whole and for its individual components. The software is licensed as a single computer program, its components cannot be separated and be used on different Bitrix24 portals.

1.3. This Agreement is entered into before or immediately at the time you start using the software and is valid for the entire period of validity the exclusive right of the Licensor to the Software, subject to proper performance User of the terms of this Agreement.

1.4. The Licensor grants the User the right use of the software in the following countries Russian Federation, Ukraine, Republic of Belarus, Republic of Kazakhstan, Kyrgyz Republic, Republic Uzbekistan, Turkmenistan, Republic of Tajikistan, Republic of Lithuania, Republic of Latvia, Republic of Estonia, Republic of Moldova, Georgia, Republic of Armenia, Republic of Azerbaijan on the terms and conditions, provided for by the current legislation of the Russian Federation and this Agreement.

2. Copyright

2.1. Software is the result of intellectual activity and subject to copyright as a computer program, which are regulated and protected legislation of the Russian Federation on intellectual property and international law.

2.2. The Software contains trade secrets and other confidential information owned by the Licensor. Any use of the Software in violation of of the terms of this Agreement is considered as a violation of the rights of the Licensor and is a sufficient reason to deprive the User of the this Agreement of rights.

2.3. The Licensor warrants that it has all rights use of the Software, including its documentation, necessary to provide To the user of the rights to use the software heretofore Agreement.

2.4. In the event of copyright infringement, responsibility in accordance with the current legislation of the Russian Federations.

3. Software Terms and Limitations

3.1. This Agreement grants the right to install (installation), running and using a legally acquired one copy of the Software in within its functionality on one Bitrix24 portal.

3.2. The User has the right, by notifying the Licensor, assign (transfer) your rights and obligations hereunder once Agreement to another User in full, except as provided in this clause of the Agreement of the right of subsequent assignment (transfer) of rights under this Agreement to other Users, which limits the ability to re-assignment of rights under this Agreement. Specified assignment (transfer) of rights and obligations is subject to the full and unconditional consent of new user with all the terms and conditions of this Agreement. By transferring the rights to use the Software, the User undertakes to completely destroy all copies of the Software installed on the User's computers, including backup copies copies. The User is obliged to provide the full data of the new User for re-registration of the rights to use the Software in accordance with this Agreement.

Assignment (transfer) of rights under this Agreement cannot be carried out (i) indirectly or through any third party, and (ii) if the User uses Demo-versions Software in respect of which a complete prohibition of alienation by the original User.

3.3. The user has the right to change, add or delete any files of the acquired software only to the extent provided Legislation of the Russian Federation on copyright.

3.4. It is forbidden to remove any copyright information rights.

3.5. Any use of the software that is contrary to the current legislation of the Russian Federation.

4. Responsibility of the parties

4.1. For violation of the terms of this Agreement, liability under the laws of the Russian Federation.

4.2. The Licensor is not liable to the User for any damage, any loss of profits, information or savings associated with use or inability to use the Software, even if prior notice by the User of the possibility of such damages, or any claim by a third party.

5. Limited Warranty

5.1. The Licensor grants the User the right to receive Technical support for advising the User on issues related to software functionality, features of installation and operation on standard configurations of supported (popular) operating, mail and other systems under the terms of and for the duration of this Agreement, and in accordance with the current legislation of the Russian Federation without payment additional remuneration.

5.2. All software updates are an integral part of it and are used exclusively together with the software as a single computer program in the manner provided for in this Agreement, if other conditions for the use of such updates will not be covered by a separate license agreement.

5.3. If errors are found while using the software, The licensor undertakes to correct them as soon as possible and release a new, corrected version of the software. The parties agree that the precise definition no deadline for fixing the error can be set because the software is closely interacts with other third-party computer programs, operating system and hardware resources of the User's computer, and performance and troubleshooting time do not fully depend only on Licensor.

5.4. In case of non-compliance with any of the paragraphs of section 3 of this Agreement, the User automatically loses the right to receive software updates (new versions).

6. Validity, modification and termination of the AGREEMENT

6.1. This Agreement has been entered into and shall be construed in in accordance with the legislation of the Russian Federation.

6.2. In case of violation by the User of the terms of this Software use agreements The licensor has the right to unilaterally terminate this Agreement by notifying the User.

6.3. Upon termination of this Agreement, the User must stop using the Software completely and destroy all copies of the Software, installed on your Bitrix24 portal, including backups and all software components.

6.4. The User has the right to terminate this Agreement in any time by completely uninstalling the software.

6.5. If the competent court recognizes any the provisions of this Agreement are invalid, the Agreement continues act on the rest.

6.6. This Agreement also applies to all updates (new versions) of the software provided to the User during the period of its actions, unless during the software update the User is prompted read and accept a separate license agreement or supplements to this Agreement.
